Party B (Agency):

Party B shall not buy, sell, transfer, borrow, give or allow others to inherit its account in any way.
Party A needs to provide the required technical services, such as: adding products to the online store, browsing the online store, and designing categories.
Party A entrusts Party B to sell all its products;
The term of this agency sales agreement shall be calculated from the date of application of this store. . During the agency sales period, both parties shall not terminate the agency sales agreement in advance without reason. Party B shall apply to terminate the agency sales agreement one month in advance. The products provided by Party A shall be delivered by Party A. . Party B only needs to be responsible for sales.
Party A guarantees that the quality of the goods provided to Party B meets the product factory standards and guarantees the authenticity of product information and materials;
The ownership of the consignment goods belongs to Party A. 85% of the standard retail price of the product market minimum sales price. Party B shall not change the price without authorization. Party B pays Party A 85% of the standard retail price of the consignment goods as a deposit, and the customer receives the goods after delivery. Party A needs to return the product funds to Party B's online account.
During Party B's consignment process, Party A needs to provide Party B's online store with 2 months of free access. Provide product services for Party B's online store. Party B has no right to interfere with the product. No right to delete the product.
Party B is conducting consignment sales. Party A needs to provide overseas warehouse services. Including overseas logistics system. The logistics system time is 1-15 working days. It will usually be completed within 5 days. (Except for extreme weather or extreme events, such as force majeure such as traffic accidents)
When Party B receives the order. The order needs to be completed within 48 hours. If overdue, it will bring a bad credit experience to the user. Party A has the right to impose corresponding penalties and legal negotiations on Party B, including: warnings, freezing store ownership, etc.
Party B brings adverse market impacts to Party A, such as causing economic losses or mental damage to platform customers. Party A has the right to initiate legal proceedings against Party B, including compensation for economic losses and mental damage to users. And has the right to submit your personal information to the local government and bank credit system. Your credit will have a bad record.
Party A shall not disclose Party B's account number and password, and provide technical support for Party B's account security.
For matters not covered in this agreement, the two parties shall sign a supplementary agreement separately. Problems arising during the performance of the contract shall be resolved through negotiation between the two parties. If the negotiation fails, either party may file a lawsuit with the local Supreme Court.
Party A supervises Party B's tax obligations. If Party B has tax evasion problems. It has the right to warn Party B to freeze. And conduct legal negotiations.
Any form of organization or individual must comply with local laws and regulations. It is prohibited to use the Tiktok e-commerce platform to engage in illegal activities such as money laundering. If Party A's risk control department detects illegal activities such as money laundering. Party A has the right to freeze all permissions of Party B's account. And submit relevant documents to the court for testimony.
